Terms of Use

PLEASE READ CAREFULLY. THESE TERMS GOVERN YOUR ACCOUNT AND ACCESS TO, AND USE OF, BIM360-TECH OFFERINGS. SECTION 17.4 CONTAINS BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT AFFECT YOUR RIGHTS.

By clicking “Accept,” creating an account, purchasing, accessing or using any Offering, You agree to these Terms, any applicable Special Terms, and Documentation (together, the “Terms”). If You do not agree, do not access or use any Offering.

“You” means (a) the company or other legal entity for which you act (e.g., as employee or contractor) or (b) if there is no such entity, you as an individual. You represent and warrant that you have authority and capacity to bind such entity and yourself.

1. Acceptance

These Terms form a binding contract when You accept them during account creation, purchase, activation, or by accessing/using any Offering. Capitalized terms are defined in Section 18.

2. Special Terms

Certain Offerings are subject to Special Terms set forth in the Documentation or on the Offering page. By subscribing to, accessing, or using a particular Offering, You accept its Special Terms, which supplement and control over any conflict with these General Terms for that Offering.

3. Return for Refund

If (a) You object to any Terms, (b) You object to BIM360 TECH purchase or auto-renewal terms applicable to Your order, or (c) You are dissatisfied for any reason, You may request a refund under the BIM360 TECH Return Policy during the applicable window indicated in Your Offering Identification or order confirmation. This policy does not limit non-waivable statutory rights.

4. Your Account

You are responsible for all access to and use of Offerings through Your account, including by Authorized Users and any person obtaining access via You. You must safeguard credentials and not share them except with authorized account administrators. If You suspect unauthorized use, notify info@bim360tech.com promptly.

5. You Own Your Work (Your Content and Output)

You retain ownership of Your Content and Output that You (or Your Authorized Users) submit to or generate through the Offerings. Nothing in these Terms transfers ownership of Your Content or Output to BIM360-TECH.

6. Privacy and Security

Privacy. BIM360-TECH’s Privacy Statement explains how we collect, use, disclose, and protect personal data and how you may exercise rights. Where applicable, a Data Processing Addendum (DPA) is available for controller-processor relationships.

Security. We maintain administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of Your Content. You remain responsible for maintaining local backups and for configurations within Your control.

7. Offering Term

Each subscription runs for the Offering Term stated in the Offering Identification. Some subscriptions renew automatically; to cancel auto-renewal, follow the instructions in Your account or order confirmation.

8. Offerings

8.1 Rights to Offerings

Subject to these Terms and timely payment of all fees and taxes, BIM360 TECH grants You a non-exclusive, non-transferable, limited right to access and use each subscribed Offering solely (a) during the Offering Term, (b) per any Special Terms, and (c) within scope limits in Your Offering Identification (e.g., user count, Offering Type, Territory). Software is licensed, not sold. You may make a single archival copy of Software solely for backup during the Offering Term.

Except as permitted by applicable law notwithstanding a contractual prohibition, You will not: (i) reproduce, modify, adapt, translate, port, or create derivative works of an Offering; or (ii) sublicense, transfer, sell, lease, rent, lend, time-share, or otherwise make any Offering available to third parties.

8.2 Access; Connectivity; Updates/Upgrades

During the Offering Term, we will make Offerings available via Your account or other electronic means. Certain Offerings may intermittently connect to the internet to validate entitlements, access services, or download/install Updates or Upgrades. You and Your Authorized Users consent to such connections. You must promptly install mandatory Updates.

8.3 BIM360 TECH APIs

If BIM360-TECH provides APIs (SDKs, tools, sample code): unless Special Terms say otherwise, You may use them only (a) for the associated Offering, (b) during the Offering Term, (c) in accordance with Documentation/Special Terms, and (d) to develop internal applications, modules, or automations for Your business. API rate limits, keys, and attribution rules apply.

8.4 Third-Party Materials/Services

Offerings may include or interoperate with Third-Party Materials/Services subject to additional Third-Party Terms (e.g., open-source licenses, platform terms). You are solely responsible for determining and complying with such terms. BIM360 TECH is not responsible for, and makes no warranties regarding, Third-Party Materials/Services or Your compliance with Third-Party Terms.

8.5 Use of Your Content

To provide and improve Offerings, You grant BIM360 TECH and its designees a limited license to host, copy, transmit, display, process, adapt (e.g., for formatting), and otherwise use Your Content solely to (a) deliver, maintain, secure, support, and improve the Offerings; (b) perform Your requests; and (c) comply with law or enforce these Terms. We may block or remove Your Content for violations.

You represent and warrant that: (i) You have all rights necessary for BIM360 TECH to process Your Content under these Terms; (ii) Your Content and its use with the Offerings do not infringe or misappropriate any rights nor violate law; and (iii) You will maintain appropriate backups at all times.

You will indemnify BIM360-TECH against claims, losses, and costs (including reasonable attorneys’ fees) arising out of or related to (1) Your Content; (2) Your or any Authorized User’s use of the Offerings (including Output); and (3) Your breach of these Terms or any Special/Third-Party Terms.

8.6 Collaboration and Sharing

Some Offerings enable sharing, publishing, or collaboration. If You choose to share or publish Your Content/Output, recipients may view, copy, use, modify, distribute, or retain it. Access revocation may not remove previously shared copies. Set permissions accordingly. Links to third parties are provided as a convenience; their actions are outside our control.

8.7 Open-Source Components

Offerings may contain open-source components governed by their respective licenses. To the extent a license requires making available source code or notices, BIM360-TECH will provide them upon request or within the Offering.

9. Trial Versions

Offerings marked “free,” “trial,” “beta,” “preview,” or similar (“Trial Versions”) are provided solely for evaluation, for the stated trial period (or 30 days if not stated), may be feature-limited, time-limited, or disabled at any time, and may be used by one named individual (for entities) unless stated otherwise. Trial Versions may contain experimental code, errors, or defects and may cause data loss; they are provided AS IS with no commitments to release or continue the functionality.

10. Feedback

If You send ideas, suggestions, or proposals (“Feedback”), You grant BIM360 TECH a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, disclose, reproduce, modify, create derivative works, commercialize, and otherwise exploit the Feedback without restriction or attribution.

11. Limitations on Use; Acceptable Use; High-Risk

11.1 Offerings Are Tools

Offerings assist with design, analysis, simulation, coordination, estimation, testing, automation, and related activities. They are not a substitute for professional judgment or independent verification. You are solely responsible for (i) selecting appropriate tools, (ii) validating Output for accuracy, safety, compliance, and fitness, and (iii) implementing independent testing and QA/QC.

11.2 Sensitive Personal Data

Unless expressly agreed in writing (e.g., within a DPA and Offering that is certified for such data), Offerings are not designed to store or process Sensitive Personal Data (e.g., government IDs, financial account numbers, health/medical information, precise geolocation, biometric identifiers, special-category data under GDPR). Except where BIM360-TECH requires payment credentials to process transactions via third-party processors, do not upload Sensitive Personal Data.

11.3 Acceptable Use Policy (AUP)

You will not (and will not allow any third party to):

• Violate law, infringe rights, or engage in deceptive, fraudulent, defamatory, harassing, or abusive conduct.

• Upload malware, interfere with security, probe or scan systems, or circumvent technical protections.

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source or structural details of Offerings or APIs (except to the limited extent permitted by non-waivable law).

• Exceed authorized usage limits, resell access, or provide service bureau, time-sharing, or similar use.

• Copy or create derivative works of Offerings, or remove proprietary notices.

• Use Offerings to process ITAR-controlled, classified, or otherwise export-controlled technical data.

• Use Offerings for the design, construction, operation, or maintenance of nuclear facilities, aircraft navigation/communication, life support, weapons systems, or other High-Risk Activities.

BIM360-TECH may suspend or terminate access for AUP violations.

11.4 High-Risk Activities

Offerings are not designed for High-Risk Activities where failure could lead to death, personal injury, or severe environmental/economic damage. You assume all risk for such uses.

12. Confidentiality

Each party may disclose Confidential Information to the other. The receiving party will use at least the same degree of care used to protect its own similar information (not less than reasonable care), use it only to perform under these Terms, and limit access to personnel and service providers under confidentiality obligations no less protective. If legally compelled to disclose, the receiving party will (where permitted) provide prior notice and reasonable cooperation to seek protective measures. BIM360 TECH may disclose Your Confidential Information to comply with legal requests or proceedings, or at Your written request (You may bear associated costs).

13. BIM360-TECH Proprietary Rights

BIM360 TECH and its licensors own the Offerings, APIs, Documentation, and all related IP (including derivatives and Metrics). Structures, organization, algorithms, protocols, data structures, and source code are proprietary and confidential. Except as expressly granted, all rights are reserved. You will not access Offerings by means other than the interfaces we provide.

14. Limited Warranty; Disclaimers; Limitations of Liability

14.1 Limited Warranty (Paid Subscriptions)

For paid subscriptions, BIM360-TECH warrants that, as of delivery and for 90 days (or the Offering Term if shorter), the Offering will substantially perform per its end-user Documentation. Your exclusive remedy is (at BIM360-TECH’s option) repair, replacement, or a refund of prepaid fees for the affected subscription, upon which that subscription terminates. Warranty claims must be made within the warranty period.

14.2 Disclaimers

EXCEPT FOR THE EXPRESS WARRANTY ABOVE (AND ANY EXPRESS WARRANTY IN SPECIAL TERMS OR AN ADDITIONAL AGREEMENT), THE OFFERINGS, DOCUMENTATION, APIS, AND ANY OUTPUT ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.” BIM360-TECH AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY ARISING FROM COURSE OF DEALING OR TRADE. WE DO NOT WARRANT THAT OFFERINGS OR OUTPUT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, ACCURATE, OR COMPLETE; THAT DEFECTS WILL BE CORRECTED; THAT YOUR CONTENT WILL NOT BE LOST OR DAMAGED; OR THAT ANY SERVICE LEVELS WILL BE MET UNLESS EXPRESSLY STATED IN WRITING.

14.3 Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BIM360-TECH NOR ITS LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; (C) BUSINESS INTERRUPTION OR COST OF SUBSTITUTE GOODS/SERVICES; (D) FAILURE OF OUTPUT; OR (E) LOSS, CORRUPTION, OR DELETION OF DATA OR CONTENT. IN ALL CASES, THE AGGREGATE LIABILITY OF BIM360-TECH AND ITS LICENSORS/SUPPLIERS FOR ALL CLAIMS RELATING TO AN OFFERING WILL NOT EXCEED THE GREATER OF: (i) THE AMOUNT PAID OR PAYABLE BY YOU FOR THAT OFFERING IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY, OR (ii) US$1,000.

Nothing limits liability for death or personal injury caused by gross negligence or willful misconduct, or for fraud, or other liability that cannot be excluded under applicable law. These limitations are fundamental elements of the bargain.

15. Indemnity (IP Infringement by Covered Offerings)

BIM360 TECH will defend You against a third-party claim that a Covered Offering infringes that party’s patent, copyright, trademark, or trade secret, and will pay damages finally awarded (or settlement amounts we approve), provided You: (a) promptly notify us; (b) grant us sole control of the defense/settlement; and (c) provide reasonable assistance. We have no obligation where the claim arises from (i) use or combination with non-BIM360 TECH products, data, or services; (ii) methods or processes not fully embodied in the Covered Offering; (iii) Your modification or non-current version where an Update avoids infringement; or (iv) Your breach of these Terms. If infringement is claimed, we may (1) modify or replace the Offering, (2) obtain a license, or (3) terminate the subscription and refund prepaid fees for the remaining Term. THIS SECTION STATES OUR SOLE OBLIGATION AND YOUR EXCLUSIVE REMEDY FOR IP INFRINGEMENT.

16. Term; Termination; Suspension

These Terms start upon acceptance and continue until terminated as provided here.

Your Termination. You may terminate a subscription and these Terms if BIM360 TECH materially breaches and does not cure within 30 days after written notice.

Our Termination/Suspension. We may terminate or suspend any subscription, Offering, or account if: (a) You have no current paid subscriptions; (b) fees/taxes are unpaid; (c) You materially breach and do not cure within 30 days after notice; or (d) You become insolvent, enter bankruptcy, or similar proceedings. We may immediately suspend access if we believe in good faith that Your conduct, failure to act, or Your Content poses security risks, violates law, circumvents technical protections, or may subject BIM360 TECH or others to liability.

Effect. Upon expiration or termination of any Offering: all rights cease; You must stop using and uninstall/delete BIM360-TECH materials; and, upon request, certify destruction or return. For some Cloud Services, we may offer a limited post-termination retrieval window (e.g., 30 days) for Your Content if You are in compliance and pay applicable fees; otherwise, we may delete Your Content without notice. Sections intended by their nature to survive (including 5, 8.3–8.7, 10–15, 16.3–16.4, 17, 18, and 19) will survive.

17. Miscellaneous

17.1 Changes to Offerings

We may modify, substitute, or discontinue Offerings (including features/Benefits) from time to time. For material changes to existing subscriptions, we endeavor to provide reasonable notice in release notes or Documentation.

17.2 Changes to Terms

We may modify these Terms. We will endeavor to provide notice (“Terms Modification Notice”). If a modification materially and adversely affects You and You do not agree, You may reject it within 30 days of the notice by emailing info@bim360tech.com or as otherwise stated in the notice. If You reject, (a) Your access continues under the pre-modification Terms (except modifications required for security, privacy, or legal compliance, which take effect immediately) until the earlier of the end of the applicable Offering Term or 180 days after the notice; and (b) then Your rights end and we (or Your reseller) will refund the prorated unused portion of prepaid fees for affected Offerings. Renewals are under the then-current Terms.

17.3 Language; Interpretation

The English version governs interpretation. “Including,” “for example,” and similar terms are illustrative and not limiting. Headings are for convenience only.

17.4 BIM360-TECH Party; Governing Law; Dispute Resolution

BIM360 TECH Party: BIM360 TECH, a Delaware limited liability company.

United States & Canada (Arbitration—AAA).
Governing law: State of Delaware and, where controlling, U.S. federal law. Any dispute, claim, or controversy arising out of or relating to the Terms or any Offering (contract, tort—including negligence and strict liability—statute, or otherwise) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, as modified herein. Seat: Salt Lake City, Utah. Language: English.

• Informal Resolution. Before filing, the party must send a written notice of the dispute and the relief sought. The parties will try to resolve informally within 30 days.

• Filing; Fees. To commence, send a demand to the AAA and to BIM360-TECH LLC, Attn: Legal, [Insert Legal Address]. Fees are allocated per AAA rules, except the arbitrator may reallocate fees/costs, including attorneys’ fees, for breach of this clause, frivolous claims, or as permitted by law. If You demonstrate inability to pay Your share of AAA fees, BIM360-TECH will pay those fees.

• Mass Filings. For Mass Filings (≥25 similar demands with the same counsel or coordinated counsel): (i) the first 10 demands proceed as Initial Test Cases; (ii) others are held in abeyance; (iii) after awards in Initial Test Cases, parties will mediate for 90 days to agree a methodology; (iv) if unresolved, either party may opt out of arbitration for remaining cases and proceed in court (Delaware law; federal or state courts in New Castle County, Delaware), or continue individual arbitrations sequentially, with fees due upon commencement of each.

• Determinations; Injunctive Relief. The arbitrator decides arbitrability. Either party may seek interim injunctive relief in any court of competent jurisdiction without waiving arbitration.
  

Outside U.S./Canada.

• EMEA: Governing law England & Wales; venue London; disputes finally resolved by LCIA arbitration (seat London).

• APAC (excluding Australia, Mainland China, Hong Kong, Macau): Governing law Singapore; disputes by SIAC arbitration (seat Singapore).

• Australia: Governing law New South Wales; venue courts of New South Wales.

• Mainland China, Hong Kong, Macau: Governing law Singapore; disputes by SIAC arbitration (seat Singapore).
  

CLASS ACTION WAIVER. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17.5 Force Majeure

Neither party is liable for delay or failure due to causes beyond reasonable control (e.g., acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, governmental orders, sanctions, pandemics). The affected party will notify the other (where practicable) and use reasonable efforts to mitigate.

17.6 Export; Sanctions; ITAR

You will comply with U.S. and other applicable export control and sanctions laws. You will not access or use Offerings from sanctioned locations or if listed on restricted party lists. You will not upload ITAR-controlled, classified, or otherwise export-controlled technical data. We may request export assurances and may suspend/terminate for non-compliance.

17.7 Government Use (U.S.)

For U.S. Government end users, Offerings are “commercial computer software” and “commercial services” per 48 C.F.R. §§ 2.101, 12.212, and 227.7202. Use is subject to these Terms and only those rights granted to all other customers.

17.8 Verification of Compliance (Audit)

BIM360-TECH may verify Your compliance remotely or on-site upon reasonable notice. You will run an approved tool and provide device/user/license data within 15 days of notice. If noncompliance is found, You will immediately purchase additional rights equal to the value of the noncompliance and reimburse reasonable verification costs. Failure to cooperate is a material breach and may result in suspension/termination.

17.9 Assignment

You may not assign or transfer these Terms without BIM360 TECH’s prior written consent; any attempted assignment without consent is void. We may assign these Terms (without consent) in connection with a merger, reorganization, sale of assets, or similar transaction.

17.10 Severability

If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable while preserving intent; remaining provisions remain in effect.

17.11 Notices

To BIM360 TECH: Postal mail to BIM360 TECH, Attn: Legal, 911 Western Ave, Seattle, WA 98104
To You: By email to the address on Your account; by in-Offering notice; by posting to Your account; or by postal mail to Your account address. Email notices are effective one day after sending; others five days after posting/sending.

17.12 Entire Agreement; No Waiver

These Terms (including Special Terms, Documentation expressly referenced, and any signed Additional Agreement) constitute the entire agreement and supersede prior discussions or representations regarding the Offerings. If conflict: Additional Agreement > Special Terms > these General Terms. Failure to enforce any provision is not a waiver.

17.13 DMCA

17.14 Publicity; Logos

Unless You notify us in writing to info@bim360-tech.com, BIM360 TECH may identify You as a customer (name and logo) in lists and case-study summaries, without disclosing Confidential Information. Any detailed case study requires separate consent.

17.15 Third-Party Beneficiaries

Except for BIM360-TECH’s licensors and suppliers with respect to their IP, there are no intended third-party beneficiaries.

18. Definitions

Additional Agreement: A signed agreement with BIM360 TECH that expressly amends or supplements these Terms (e.g., enterprise agreement).
APIs: Application programming interfaces, SDKs, tools, libraries, scripts, sample code, and related developer materials.
Authorized Users: (a) You (if an individual), and (b) identified individuals (e.g., employees, contractors) for whom You have purchased rights to use an Offering.
Benefits: Subscription benefits based on Offering Type and level (e.g., Updates/Upgrades, prior-version rights, beta access, APIs, support, training, webinars, forums, events, newsletters).
Cloud Service: Any web- or cloud-based service made available by BIM360 TECH, whether fee-bearing or free.
Confidential Information: Non-public information disclosed in writing and designated as confidential, or that a reasonable person would understand to be confidential. Excludes information that becomes public without breach, was lawfully known without restriction, is received lawfully from a third party, or is independently developed without use of the disclosing party’s information.
Covered Offering: An Offering for which You paid BIM360 TECH > US$100 in the prior 12 months, excluding Offerings modified by You and Third-Party Materials/Services.
Documentation: Then-current end-user documentation for an Offering (online or otherwise), including technical and legal requirements expressly referenced by these Terms.
High-Risk Activities: Uses where failure may result in death, personal injury, or severe environmental/economic damage (e.g., nuclear facilities, aircraft navigation/communication, life support, weapons systems).
Metrics: Telemetry and analytics about access to and use of Offerings (e.g., features used, volumes, storage, processing of Your Content) but not Your Content itself. If personal data is included, it is treated per the Privacy Statement.
Offering: Software, Cloud Services, and Benefits provided by BIM360 TECH, and any subscriptions thereto.
Offering Identification: BIM360 TECH designations describing Your Offering (name/type, scope/limits, Territory, Term), provided in confirmations, account pages, emails, or packaging.
Offering Type: License/subscription type specified by BIM360 TECH (e.g., single-user, multi-user, consumption/Flex).
Output: Results or work product created by or through an Offering, including any items designed or produced using such results.
Sensitive Personal Data: Data requiring heightened protection by law (e.g., government IDs, financial account numbers, precise geolocation, biometric identifiers, special-category data).
Software: Any software provided by BIM360 TECH, including modules/components/features, whether fee-bearing or free, and including Updates/Upgrades.
Special Terms: Additional terms specific to a particular Offering in its Documentation or Offering page.
Territory: The country/jurisdiction where You acquired Your subscription, unless applicable law expressly authorizes cross-border use.
Updates / Upgrades: Updates: fixes, patches, minor features; Upgrades: new versions or add-ons, as designated by BIM360 TECH.
Your Content: (a) material You (or Your Authorized Users) submit/upload to an Offering (files, models, datasets, images, docs), and (b) Your specific Output based on Your raw inputs/data.

19. Country / Jurisdiction-Specific Terms

19.1 United Kingdom; EU/EEA Member States

(a) If You acquired a subscription in an EU or EFTA Member State, the Territory includes all EU and EFTA Member States (cross-border use is permitted where mandated by law).
(b) Nothing excludes liability where such exclusion is unlawful (e.g., death or personal injury caused by gross negligence or willful misconduct; fraud; product liability where applicable).
(c) Consumers contracting with BIM360-TECH’s EU representative (if applicable) retain statutory rights under their local law. Governing law for consumers: (i) England & Wales for UK residents; (ii) Ireland (or the Member State permitted by law) for EU/EEA residents. Venue per applicable consumer law.
(d) Changes to Terms/Offerings: When required by law or for justified commercial, technical, security, or operational reasons, we may modify Terms/Offerings with reasonable advance notice in clear language. If You do not agree, You may terminate the affected subscription within 30 days of notice or effective date (whichever later) and receive a pro-rata refund of prepaid unused fees.
(e) Right of Withdrawal (EU/EEA consumers): Statutory 14-day withdrawal may apply. This does not reduce any more favorable return policy we provide.

19.2 Australia

These Terms are in addition to non-excludable rights under the Australian Consumer Law. To the extent permitted, our liability for breach of consumer guarantees is limited, at our option, to repair, replacement, re-performance, or paying the cost of doing so. Warranty claims: contact info@bim360tech.com.

19.3 Brazil

These Terms respect the LGPD. Brazilian consumers’ statutory rights are not waived. Dispute resolution mechanisms will align with mandatory Brazilian consumer protections where applicable.

19.4 Canada (including Québec)

Certain subscriptions include Benefits such as Updates/Upgrades, prior-version rights, early access/beta programs, knowledge bases, or tiered support. Benefits vary by Offering Type and may change over time with notice where required.

22. Return Policy (Detail)
